THE PROGRAM (GAP GOOD REWARDS, OLD NAVY NAVYIST REWARDS, BANANA REPUBLIC REWARDS AND ATHLETA REWARDS) TERMS AND CONDITIONS

1. Overview
The Gap Inc. Rewards Program (the “Program”) is offered exclusively by Gap Inc. on its own behalf and on behalf of its related companies Gap (Canada) Inc. and Old Navy (Canada) Inc. and their respective brands Gap, Banana Republic, Athleta and Old Navy (collectively “Gap Inc.” or “we”, “our” or “us”). The Program consists of four branded expressions: Gap Good Rewards, Banana Republic Rewards, Athleta Rewards and Old Navy Navyist Rewards. The Program is offered to Gap Inc.’s customers who are residents of Canada. To determine if you are eligible, see Section 4 Who is Eligible? below.
Members (also referred to as “you” and “your”) participating in the Program agree to be bound by these Program Terms and Conditions (“Program Terms” or “Agreement”), the Terms of Use, and the Privacy Policy (both of which are incorporated herein by reference) as those terms may change from time to time.
2. Privacy
Personal information that you provide in connection with the Program will be handled in accordance with our Privacy Policy. As explained below, upon completion and submission of an enrollment form in-store or online, and upon confirmation of receipt, you become a “Member” and your email address will be used as your unique membership identifier. Your email address or phone number must be provided at checkout for all in-store transactions in order to earn points on eligible purchases. For online transactions, your email address will be used as your unique membership identifier and you must be signed into your online account for the Program (a “Member Account”), prior to the sale being completed, to earn points on eligible purchases. Because we use your phone number and email address to identify you as a member and to notify you of Program benefits, you must ensure that both are accurate and current.

3. Amendment, Termination, Etc. of Program / Program Terms
All Program benefits, offers, rewards, points, and services are subject to availability.
These Program Terms supersede all previous terms and conditions applicable to the Program. Any subsequent Program Terms supersede the prior version and if you continue to participate in the Program, you agree to be bound by the most recent version of the Program Terms. We encourage Members to review the Program Terms periodically and especially prior to rewards redemption.
Subject to applicable law, Gap Inc. may at any time amend, restrict, modify, supplement, or terminate the Program and these Program Terms.
If Gap Inc. changes the Program Terms in any material respect, we will provide Notice to Members. Notice will be provided in all cases to Members residing in the Province of Québec between 90 and 60 days prior to the change coming into effect. For these Program Terms, “Notice” to Members shall mean notice required by applicable laws and regulations and, unless otherwise stated, will be made directly to Members’ email addresses.
To the extent permitted by applicable law, if the Program is terminated, all unredeemed points, rewards, and other benefits will be automatically forfeited without any obligation or liability and will not be honoured upon termination or after the conclusion of any notice period that may be required by law. You acknowledge and agree that we will have no obligation to honour or redeem such points, rewards, or other benefits after the effective date of the termination of the Program and shall not be responsible or liable for your failure to redeem any points, rewards, or other benefits prior to the termination of the Program. Under no circumstances will Gap Inc. be held liable for any delay or failure to award points or to redeem rewards in whole or in part, including without limitation, due to any acts of nature or other circumstances beyond our reasonable control.
In the event of actual or suspected fraud, abuse of points, rewards, benefits, privileges, or any violation of the Program Terms, we reserve the right, acting in our sole discretion, to take any action we deem appropriate, including, without limitation, canceling or suspending your participation in the Program and/or removing any points, rewards, or other benefits from your account. If you reside in the Province of Québec, your participation will first be suspended and notice will be provided to you in respect of the grounds that justify the suspension and eventual cancellation of your participation in the Program.
4. Who Is Eligible?
Membership is limited to individuals who are 16 years of age or older and residents of Canada. If you do not reside within Canada, you are not eligible to participate. Individuals under the age of majority must obtain the consent of their parents or legal guardian prior to participation in the Program.
Membership is not available to corporations, charities, partnerships, or anyone other than individuals acting in their personal capacity. No purchase is necessary to become a Member.
Employees, officers, directors, agents, and representatives of Gap Inc. (collectively, “Employees”) are eligible to become Members but may be excluded from certain promotions offered in connection with the Program. Employees should review the specific terms of any promotion within the Program to confirm any exclusions.
5. How to Enroll in the Program / How to Create an Account
There are two ways to enroll, namely:
- In-store at participating Gap, Old Navy, Banana Republic, Athleta, Gap Factory, Banana Republic Factory and Old Navy Outlet store locations in Canada (each a “Qualifying Store”); or
- online at gap.ca, oldnavy.ca, bananarepublic.ca, bananarepublicfactory.ca or athleta.ca (each, a “Qualifying Website”).
All brands are collectively referenced as our “Family of Brands”.
To enroll either in-store or online, individuals who meet the eligibility criteria must complete the enrollment form by providing certain information: your full name, phone number, and email address. You may also be asked to provide certain optional information such as your date of birth to participate in additional promotions as part of the Program. Once you complete and submit the enrollment form, you will receive an email confirming your membership. To earn and redeem points for online purchases, you must create a Member Account, which can be done on any of our Qualifying Websites. You will need to use the same email address that you used to enroll in the Program to create your Member Account.
To enroll in the Program, a valid and unique phone number and email address is required. Such phone number or email cannot have been used by you or any other person to enroll in the Program previously. Members must advise Gap Inc. immediately of any change to the phone number or email address associated with their Program membership and Member Account. In order to update such information, Members must have a Member Account associated with the same email address provided at Program enrollment. Please note that updates do not take effect immediately and a Member may not be able to redeem any rewards until such time the update takes effect in Gap Inc.’s systems. LIMIT: There is a limit of one membership per person, email address and phone number.
Old Navy Navyist Rewards, Gap Good Rewards, Banana Republic Rewards and Athleta Rewards are branded expressions of the same program. Members will earn points and rewards into a single Member Account, which will record the points earned from purchases at Qualifying Stores and online on the Qualifying Websites. The rewards in your Member Account can be redeemed at Qualifying Stores and online on the Qualifying Websites.
Membership is free and optional. No purchase is required to sign up. We may decline membership in the Program to any enrollee at our discretion and without written notice.
Your Program membership cannot be shared with others. You are responsible for all activity incurred through or in connection with your membership in the Program and your Member Account. You agree to promptly notify us if you become aware of any unauthorized access or use of your Program membership or your Member Account.
By enrolling in the Program, you submit that you reside in Canada and meet all other eligibility criteria, that you have read and understood the Program Terms, Terms of Use and Privacy Policy, and agree to abide and be bound by them and all the decisions of Gap Inc., which are final and binding in matters related to the Program.
Gap Inc. is not liable or responsible in any manner for any tax consequences that may flow from your participation in the Program. Members will be solely responsible for their own tax payments and reporting requirements (including those related to any income tax benefit), if any.
6. Earning Points
Points are earned at the time of purchase at a Qualifying Store when you provide your phone number associated with your membership, and for online orders made on a Qualifying Website when you sign-in to your Member Account.
You earn one (1) point for every dollar (in CAD, before taxes and rounded to the nearest whole dollar) in Qualifying Purchases, including for gift giving.
A “Qualifying Purchase” is defined as merchandise purchased at our Family of Brands for personal use. Excludes purchases for resale and amounts for sales tax, regional/municipal fees and levies, gift packaging fees, shipping & handling or delivery charges, optional charitable donations, and any amount paid for using a purchase order, gift card, merchandise credit, mail certificate, gift certificate, credit voucher, refund check, or any other type of store credit. You will not earn points for the value of any coupon or discounts, or the value of any Rewards applied to your purchase.
BONUS POINTS: From time to time, our Family of Brands will offer you the opportunity to earn bonus points. The promotional materials may identify additional qualifying events, exclusions, and restrictions.
You will not earn points for any of the following:
- purchases we suspect, in our sole discretion, may be for the purpose of resale (if you reside in the Province of Québec, you will be provided notice of the fact that we suspect this);
- amounts on your purchase attributable to sales taxes, regional/municipal fees and levies, gift packaging fees, shipping & handling or delivery charges, and optional charitable donations;
- any amount of your purchase paid for using a purchase order, gift card, merchandise credit, mail certificate, gift certificate, credit voucher, refund cheque, or any other type of store credit;
- the amount of any coupon or discounts applied to your purchase;
- the value of any purchase attributable to rewards redeemed from your Member Account
- purchases made through any third-party websites or platforms (i.e., any website or platform other than the Qualifying Websites)
- purchases made through any third-party reseller such as eBay
- other exclusions may apply during or in connection with special promotions.
Rewards
For every increment of 100 points, you may apply $1 dollar (in CAD) as a reward toward one or more future purchase(s) made at Qualifying Stores or on the Qualifying Websites. For example
100 points = $1 in rewards;
1000 points = $10 in rewards;
1100 points = $11 in rewards etc.
When you make a purchase, points are initially received into your account as “pending”, and after approximately fourteen (14) days, they are recorded in your account and you are then eligible to redeem the points as a reward towards a purchase. All points and eligible rewards totals reflected in your Member Account will be deemed correct unless otherwise substantiated by the Member with evidence satisfactory to Gap Inc. Unless you reside in the Province of Québec, discrepancies must be addressed within ninety (90) days of the applicable purchase date by calling Customer Service at the below numbers

There is no limit as to the number of points you can earn; however, you may only redeem up to $500 in rewards in a single transaction.
IMPORTANT NOTE: Points and rewards have no cash value, cannot be altered, and cannot be exchanged for cash or credit. Points and rewards are for promotional purposes only and expire as indicated herein.
You have no ownership interest in points and rewards, and these points and rewards collected do not constitute property. The use of the word "earn" or similar language in marketing materials and the Program Terms in relation to the Program does not imply that the points and rewards have any value prior to conversion or redemption.
Points and rewards may not be purchased, bartered or sold and are not transferable to anyone else or any other membership in any capacity for any reason, and may only be used by you for your personal use, and cannot be combined among Members.
Upon the death of a Member, the Member’s Account will be closed and any benefits, points or rewards in the account will be automatically forfeited.
7. Membership
Once enrolled in the Program as a general member, you will enter at the CORE member status level and are entitled to the rewards and benefits of membership as set out in these Program Terms and/or in the promotional materials. See below for more details on unlocking status levels.
MEMBERSHIP STATUS LEVELS
Upon reaching certain milestones, members will unlock higher membership status levels with additional benefits based on the total dollar amount of Qualifying Purchases during a calendar year.
- CORE – no minimum spend.
- ENTHUSIAST – eligible after minimum Qualifying Purchases of $500 at our Family of Brands.
- ICON – eligible after minimum Qualifying Purchases of $1000 at our Family of Brands.
Membership status level upgrades will be processed within 60 days after qualifying.
To qualify for a level outlined above, the required Qualifying Purchases amount identified above must be made between January 1 and December 31 of any given year. At the beginning of each calendar year, the Qualifying Purchases amount will be reset to zero. Members will enter the next year at the previous year-end status level and retain that as the minimum level through the end of the new year even though the Qualifying Purchases amount was reset. As new milestones are attained, members will unlock higher status levels. If, during a calendar year, you do not reach the minimum Qualifying Purchases amount associated with the status at which you entered the new calendar year, at the end of that calendar year, the status level will revert to the status appropriate for the actual Qualifying Purchases amount attained.
MEMBERSHIP STATUS AND BENEFITS
The membership benefits listed in this section take effect on September 14, 2022.
Members are eligible for certain Program benefits based on membership status. Any benefits with a time limit will be forfeited if unused within the time limit.
Program membership must be active and in good standing for members to be eligible for any Program benefit. Additional terms and conditions may apply to Program benefits and will be specified in offers. Offers subject to change.
Free Shipping: Must be signed into your online account to receive offer. Valid for online orders totaling at least $50 for Core and Enthusiast members and $35 for Icon members before taxes shipped to a single address in Canada only. Qualifying amount applies to merchandise only and excludes gift cards, packaging, applicable taxes or shipping & handling charges. If you choose another shipping option, additional charges may apply.
Family of Brands Bonus: Eligible Members earn the following bonus points annually when they make a Qualifying Purchase at 2 or more of our Family of Brands in the same calendar year: 2 brands = 500 pts; 3 brands = 1,000 pts; 4 brands = 2,000 pts. Not valid for multiple purchases made at a single brand. Limit one (1) annual bonus per eligible program membership.
Birthday Bonus: For eligible Members who have provided their birthday. Gift selected in Gap Inc.’s sole discretion and may be subject to additional terms and conditions.
Do Good – Donate your Points: Eligible Members can choose to convert points to dollars to donate to organizations chosen in Gap Inc.’s sole discretion. Gap Inc. commits to a donation amount of up to USD $10 million in equivalent rewards points annually. Donations will not be allowed over USD $10 million combined across both Canada and U.S. Rewards Programs in any year but we will reopen the donation window the following year.
Create Your Own Sale Day: Icon Members may choose their own sale day (15% off) once per year. May be used one time each at our Family of Brands on the sale day, either online or in-store.
8. Redeeming Points for Rewards
Points can be redeemed for Rewards at Qualifying Stores and on the Qualifying Websites for the purchase of merchandise.
Rewards cannot be redeemed for the following:
- in combination with subscription services such as Banana Republic Style Passport
- at stores other than the Qualifying Stores
- on websites other than the Qualifying Websites
- the purchase of gift cards
- for applicable taxes, regional/municipal fees and levies, packaging fees, shipping & handling or delivery charges, charitable donations, and gift-wrapping charges
When shopping in-store, you must provide your phone number or email address at the time of purchase, or if you are shopping online on one of our Qualifying Websites, you must be signed into your Member Account, prior to the sale being completed, in order to apply rewards to a purchase transaction online. The value of your reward will be prorated across items purchased and reflected on your receipt.
In the event of a printing, production or posting error in the points or rewards value stated on any promotion materials, Gap Inc. will use its best efforts to rectify this error as soon as reasonably possible. In no event shall Gap Inc. be under any obligation to honour any inaccurate value.
9. What happens to rewards upon returns?
Returning merchandise purchased with rewards
If you return merchandise purchased with rewards, and to the extent we can identify the value of the rewards used in the original purchase, the dollar value of the rewards allocated to the item(s) returned will be converted to points and credited to your Member Account.
Returning merchandise that earned points
When you return products, points previously credited to your account for those products will be deducted from the point balance at the time of return. If your point balance is insufficient to cover a deduction related to a return, your point balance may go into the negative. If any deduction puts your account into a negative points balance, you will not be eligible to redeem rewards towards a purchase until you have a positive balance of at least 100 points. Subsequent points earned will first be applied to reduce that negative balance. Gap Inc. may suspend membership accounts with a negative balance. If your account is suspended, you may seek re-instatement from Customer Service.
In a return transaction where rewards were used to reduce the total amount paid, you are entitled to a refund for only amounts actually paid.
Returns of gifts you received but for which you were not the original purchaser or return of items purchased without noting your Program membership or made through your Member Account will not be tied back to your account for return credit of any associated points.
10. Dispute of Identity of Member
Limit of one Program Membership per person, email address and phone number. If there is a dispute regarding ownership of the email address or phone number used to enroll in the Program, the owner will be deemed to be the natural person who is assigned to the submitted email address or phone number by the phone company, internet provider, online service provider, or other organizations (e.g., business, educational institution, etc.) that is responsible for assigning phone numbers or email addresses for the domain associated with the submitted email address. Members are responsible for providing a valid email address and phone number, as well as updating the email address and phone number used in the Program should either change.
11. Transactional and Marketing Emails
Members will receive transactional emails related to membership including but not limited to the following: welcome email; recurring Membership status statements and/or updates; points totals or issuance of rewards earned; reminders of upcoming expiration of earned points; etc. To stop receiving these transactional emails, you must cancel your Program membership.
These transactional emails will be in addition to any marketing emails you may have subscribed to receive. You will only receive marketing emails if you have provided your express consent to receive marketing emails at the time of enrollment in the Program, prior to enrollment, or thereafter
12. Expiration of Points / Termination of Membership by Member
All points will expire if a Member Account is inactive for 12 consecutive months. A Member Account is deemed inactive if a Member does not earn points or redeem points for rewards for 12 consecutive months in connection with the Member Account. Once a Program account is deemed inactive, all points will be automatically forfeited, and we may close the Member Account after that 12 month period. We will provide Notice to the Member 30-60 days prior to forfeiting points due to the closure of a Member Account as a result of inactivity.
You may terminate your membership in the Program at any time. If you terminate your membership in the Program, you will no longer earn points or be able to redeem rewards and, upon termination, you will immediately forfeit your unused points. Deletion of points are final, and they cannot be recovered, so please consider this choice carefully. To terminate your membership in the Program, please call Customer Service at one of the below numbers. Please note that the hours of operation are: Monday-Sunday from 7am – 1am ET.

You agree that the Gap Inc. Parties (as defined in Section 13 below) have no liability or responsibility whatsoever for any loss, liability, injury or damage of any kind however arising from any refused, suspended, cancelled or terminated account or any forfeited or deleted points, unless you reside in the Province of Québec and the loss, liability, injury or damage is the direct result of an act of the Gap Inc. Parties.
13. NO WARRANTY
The Program is provided on an as-is and as-available basis. Gap Inc., its respective subsidiaries, divisions, and affiliate entities, along with each such company’s respective officers, directors, shareholders, vendors, distributors, employees, representatives and agents (collectively, the “Gap Inc. Parties”) make no representation, condition, guarantee or warranty, express, implied or statutory, including, but not limited to, any warranties or conditions of merchantability or fitness for a particular purpose with respect to the Program or any products or services related to the Program.
The Gap Inc. Parties do not represent or warrant that the Program will operate without interruption or error or that any element of the Program will meet your expectations.
14. ERRORS OR INCONSISTENCIES
Despite our best efforts to ensure accuracy, errors occasionally occur. We reserve the right to correct such errors at any time even if it affects pending benefits, rewards, or points in your account. In the event of any inconsistency or discrepancy between the Program Terms or other statements contained in any related materials or advertising, the terms of the then-current Program Terms shall prevail, govern, and control.
15. RELEASE OF LIABILITY AND INDEMNIFICATION
By participating in the Program, you (and, if applicable, your parent or legal guardian) expressly understand and agree that the Gap Inc. Parties shall not be liable or responsible for any direct, indirect, incidental, special, consequential, exemplary or punitive damages, or any other damages whatsoever, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if we have been advised of the possibility of such damages), arising out of, or resulting from your membership or participation in the Program or the Program Terms, unless you reside in the Province of Québec and the damages are the direct result of an act of the Gap Inc. Parties.
YOU (AND, IF APPLICABLE, YOUR PARENT OR LEGAL GUARDIAN) AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS THE GAP INC. PARTIES FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, DEMANDS, LIABILITIES, COSTS OR EXPENSES, INCLUDING REASONABLE ATTORNEYS' FEES, RESULTING OR ARISING OUT OF YOUR PARTICIPATION IN THE PROGRAM OR YOUR BREACH OF ANY OF THE PROGRAM TERMS.
If any part of these warranty disclaimers or limitations of liability is found to be invalid or unenforceable for any reason or if we are otherwise found to be liable to you in any manner, then our aggregate liability for all claims under such circumstances shall not exceed the lesser of (a) the amount paid by you for your participation in the Program during the prior 12 months or (b) $10, unless you reside in the Province of Québec.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for damages. Accordingly, some of the above indemnities, limitations and disclaimers may not apply to you. To the extent we may not, as a matter of applicable law, disclaim any warranty or limit our liability, the scope and duration of such warranty and the extent of our liability will be the minimum permitted under such law.
We may assign our rights and obligations under the Program Terms, including in connection with a merger, acquisition, sale of assets or equity, or by operation of law.
16. Governing Law
To the maximum extent permitted by law, this Agreement shall be construed in accordance with the laws in effect in the Canadian jurisdiction of the Member’s residence, without regard to any conflict of law provisions.
17. Waiver
The waiver of any provision of the Program Terms shall not be considered a waiver of any other provision or of Gap Inc.’s right to require strict observance of each of the terms herein. If any provision of the Program Terms is found to be unenforceable or invalid for any reason, that provision shall be severable, and all other provisions shall remain in full force and effect. The Program Terms constitute the entire agreement between us relating to your participation in the Program.
18. Termination
These Program Terms are effective unless and until terminated by either you or Gap Inc. You may terminate this Agreement at any time by cancelling your Membership. Gap Inc. also may terminate this Agreement at any time with Notice as required by law (90 to 60 days prior to the effective date of the termination if you reside in the Province of Québec), and accordingly may deny you access to the Program, if in Gap Inc.’s sole judgment you fail to comply with any term or provision of the Agreement.
If the Program is terminated, all unredeemed benefits and points will automatically expire and be forfeited without any obligation or liability and will not be honored upon termination or after the conclusion of the notice period. Under no circumstances will we be held liable for any delay or failure in performance due in whole or in part to any acts of nature or other circumstances beyond our reasonable control.
